Board Regulations (PL)

Mariusz Stusiński is an experienced ICT market expert who has been professionally involved with industry leaders since the beginning of his career. 

He began his career in 2002–2008 in the sales structures of Orange and Nortel, in the area of ICT. Subsequently, in ATM, he headed a department responsible for the development and commercialisation of an innovative technology platform for the construction of Internet television. 

He has held managerial functions within the Atende Group for the last 10 years. Between 2011 and 2021, as Vice-President of the Management Board of Atende Software (currently: Redge Technologies), he was jointly responsible for the market success of the CDN platform (under the name redGalaxy) used today by the leading Internet TV broadcasters in Poland, as well as for the development of sales of intelligent energy systems and the company's finances. Since 2014, he has acted as Chairman of the Supervisory Board of Phoenix Systems, since 2018 – Chairman of the Supervisory Board of Omnichip, and since December 2020 – Vice-President of the Management Board of Atende Industries – companies from the Atende Group specialising in high-tech solutions. 

He is a graduate of the Military University of Technology and Lodz University of Technology (Faculty of Electrotechnical and Electronics, in the field of Electronics and Telecommunications).

MARIUSZ STUSIŃSKI

An expert with almost 30 years of experience in the field of finance, management and capital markets. For over a decade, she has been managing finance in the IT sector, since 2010 as Vice-President of the Management Board in charge of finance at Atende S.A., supervising the controlling, accounting, administration and logistics departments.

During her career, she was directly involved in mergers and acquisitions, including the merger of Tricon Restaurants Poland (formerly PepsiCo Poland) with American Restaurants, owner of the KFC and Pizza Hut restaurant chains, the acquisition of the Wedel brand by Cadbury, a British company, and the acquisition of KLK by ATM Systemy Informatyczne. He has many years of experience in auditing companies during numerous acquisition processes. She supervised the implementation of IT systems (e.g. JD Edwards, SAP, Exact) and ISO 9001:2001 certification. On May 28th, 2012 she successfully introduced Atende (then operating under the business name ATM Systemy Informatyczne S.A.) on the WSE, being responsible for the preparation and implementation of the IPO process.

Between 2000 and 2009, she was a member of the management board of Ascom Poland sp. z o.o. in charge of finance.

Before that, between 1999 and 2000, she was the chief accountant at Cadbury-Wedel sp. z o.o., and between 1995 and 1999 she served as deputy financial controller at PepsiCo Poland sp. z o.o. 

She started her career in the banking sector, working in the accounting department of Polsko-Amerykański Bank Hipoteczny S.A. between 1993 and 1995. 

She graduated in 2000 with a master's degree in economics from the Faculty of Economics at the University of Insurance and Banking in Warsaw. In 2003, she completed post-graduate studies in accounting at the AGH University of Science and Technology in Kraków. During her career, she has completed a number of courses and training programmes in finance and accounting. Since 2004, she has been licensed by the Ministry of Finance to provide accounting services.					

IWONA BAKUŁA

Jacek Szczepański is an experienced manager with over 25 years of experience in international organizations, multicultural environments, and companies with Polish capital. He specializes in managing sales teams and service departments, delivering strategic business solutions to clients from various market sectors, such as finance, energy, telecommunications, FMCG, and pharmaceuticals. He has been associated with Atende S.A. since 2016.

Since January 2024, he has held the position of Managing Director of the Cybersecurity Division, while simultaneously serving as the Program Director for PGE, overseeing and providing operational support for the CRM/Billing project at PGE.

From 2020 to 2023, he served as the Managing Director, initially of the Services Division and later of the Dedicated Solutions Division (both in terms of sales and service delivery), and was a Member of the Management Board (until September 15, 2021), where he was responsible for developing Atende's service and software offerings. During this time, he introduced ChainDoc solutions based on blockchain technology and cybersecurity-as-a-service solutions to the market, while also overseeing proprietary software for telecommunications companies.

From 2016 to 2019, as Chief Operating Officer and Member of the Management Board, he was responsible for overseeing the Group's subsidiaries as well as managing the Innovation and Development, Marketing, Legal, and HR departments. Jacek Szczepański is currently a member of the Supervisory Board of the subsidiary A2CC. Until the company's sale, he also served as a member of the Supervisory Board at Atende Medica.

Supervisory Board Report of Atende for the Year 2023 (PL)

A graduate of the Faculty of Physics at the University of Warsaw, he earned his Ph.D. (in 1980) and habilitation (in 1990) in high-energy physics. He has a significant scientific track record and has received numerous awards, including from the Minister of National Education. He served as the long-time representative of the dean for computational techniques at the Faculty of Physics and was the secretary of the Senate's IT committee. He also led a research grant, under which, in August 1991, his team made the historic connection of Poland to the Internet.

Since September 1991, he has been associated with ATM s.c., where he co-founded and managed the company's computer division. In 1994, he became the president of ATM Sp. z o.o., which was later transformed into ATM S.A.

Under his leadership, ATM became the first company connected to the Internet (in 1991), the first commercial Internet provider in Poland (under the brand Internet Komercyjny w Polsce - IKP), the operator of the first metropolitan fiber-optic network in Warsaw from 2001, and later the largest provider of colocation services in Poland under the ATMAN brand, based on its own data centers. Until June 22, 2021, he served as the CEO of the publicly listed company Atende S.A., which was created as a result of the spin-off of IT services from ATM (in 2012). Atende is a leading ICT integrator in Poland and forms a group of companies specializing in offering innovative IT technologies.

ROMAN SZWED

Born 1972. Higher education. Graduated from the Faculty of Finance and Banking at the Warsaw School of Economics, specializing in financial accounting. Since 2011, she has been holding a Certificate of an Advisor in the Alternative Trading System.

She has extensive experience in the capital market. In 1992, she was an employee of the Warsaw University of Technology. In 1993–1994, adviser in the Office of Brokerage Houses and Trust Funds of the Securities and Exchange Commission. Between 1993 and 2001, she worked at the Center for Capital Operations of Bank Handlowy in Warsaw, in primary market division as a banking specialist and project manager. Since 2005, she has been running her own business activities including financial consultancy on the capital market. Since 2004, she has been working with Corvus Corporate Finance sp. z o.o., where since 2012, she has been acting as the Vice-President of the Management Board. In 2011–2012, she was an advisor for the LST Capital S.A. board.

PATRYCJA BUCHOWICZ

Born 1942. Higher education. Graduated from the Faculty of Mathematics and Physics, University of Warsaw, specializing in mathematics, numerical methods (1964). PhD in Mathematical Sciences (Faculty of Mathematics and Mechanics, University of Warsaw, 1972), PhD in mathematics (informatics) (Faculty of Mathematics, Informatics and Mechanics, University of Warsaw, 1979). The title of a professor (Institute of Computer Science, Polish Academy of Sciences, 2001). Member of many scientific and professional societies.

He has very broad expertise and extensive research experience with regard to the main activities carried out by Atende S.A. Since 1964, he has been working at the University of Warsaw, currently (since 2006) the position of a full professor at the Institute of Informatics at the Faculty of Mathematics, Computer Science and Mechanics. While working at the University of Warsaw he held several leadership positions, including Director of the Institute of Computer Science, Vice Chancellor, Rector’s proxy for computerization, and the director of the Center for Open and Multimedia Education. Since 2012, the rector plenipotentiary for multimedia education.

The professor also holds a variety of functions outside the University of Warsaw, the most important of which are: Vice-President of the Central Council of Science and Higher Education, President of the European Association of EUNIS, Chairman of the Committee on Information Technology Education at the Ministry of Education, chairman of the Specialist Team for the IT Infrastructure, Ministry of Science and Higher Education, chairman of the National Fund for the Children, a member of the Polish Committee for UNESCO's Information for All Programme, IFAP PK, a member of the Directorate of Inter-University Centre for Information Technology, MUCI, a member of the Central Committee of the Polish Olympiad in Informatics.

In 2017, he received the Jan Wejchert's Special Award of the Polish Business Roundtable.

JAN MADEY

Born in 1967. He holds a higher education degree and is a graduate of the Lodz University of Technology (1992). In 1994, he obtained a securities broker license, and in 2002, he received the Chartered Financial Analyst (CFA) designation awarded by the CFA Institute, USA.

From 1995 to 1996, he worked as a securities analyst and dealer at Deawoo Towarzystwo Ubezpieczeniowe S.A. From 1996 to 1998, he was an equity analyst in the Asset Management Department at Bankowy Dom Maklerski PKO BP S.A. Between 1998 and 2002, he was associated with the Commercial Union Poland Group (now Aviva) – initially as an equity analyst at Commercial Union Poland Life Insurance Company S.A., later at Commercial Union Investment Management (Polska) S.A. From 2006 to 2013, he was a partner and CEO at Artemis Investment sp. z o.o.

Maciej Matusiak has previously served on the supervisory boards of numerous companies. He is currently a member of the supervisory boards of the following companies: BBI Development S.A., MLP Group S.A., Interbud-Lublin S.A., Drop S.A., ZPC Otmuchów S.A., and Libet S.A.

MACIEJ MATUSIAK

A graduate of International Trade from the Warsaw School of Economics and a certified ACCA member, she has been associated with the financial market for over 20 years, particularly in the areas of property and life insurance, consumer loans, bancassurance, and the broader financial market.

She began her professional career as a financial statement auditor at Deloitte and Touche, where she was involved in auditing companies across various sectors of the economy. She later gained professional experience in financial institutions with both foreign capital (Royal and SunAlliance Group, Prudential, Sygma Bank/BNP Paribas) and Polish capital (PZU Group, TUW TUZ), holding positions related to strategic and operational financial management as CFO, board member, director of controlling, and chief accountant. As a member of the management board of a financial institution, she oversaw financial divisions (controlling, accounting, reporting, taxes, investments) as well as actuarial functions.

She is particularly committed to the idea of managing financial security, increasing process efficiency, and digitalization in the organizations she works for. She is eager to share her knowledge and experience, including through mentoring students at the Warsaw School of Economics, and she actively supports the promotion of women to senior management positions as a volunteer in the 30% Club POLAND social campaign.
